Regini Terms of Use

Introduction

These Terms of Use govern your access to and use of Regini's services. By creating an account, accessing, or using the Platform, you agree to these Terms, our Privacy Policy, and our General Risk Warning.

1. Definitions

Regini, we, us, or our means Regini VASP Ltd, a company incorporated in Kenya.

Platform means Regini's mobile applications, WhatsApp services, USSD services, website, and related products.

User, you, or your means any person using the Platform.

USDC means the USD-denominated stablecoin supported by the Platform.

2. About Regini

Regini is a Kenyan-registered company that offers a USDC-based digital dollar platform.

Users can convert funds into USDC, withdraw funds, access financial education content, and optionally participate in yield-generating products.

Regini is not a bank, and customer funds are not protected by a government deposit guarantee scheme.

3. Eligibility

To use the Platform, you must:

  • Be at least 18 years old.
  • Have the legal capacity to enter into binding agreements.
  • Provide accurate and complete information.
  • Comply with applicable laws and these Terms.
  • Successfully complete any required identity verification.
  • Not reside in the European Union (we do not offer services to EU residents).

We may refuse, suspend, or terminate access to users who do not meet these requirements.

4. Account Security

You are responsible for maintaining the security of your account, device, PIN, passwords, verification codes, and authentication credentials.

You must notify Regini immediately if you suspect unauthorized access to your account.

Regini is not responsible for losses resulting from your failure to protect your account credentials.

5. KYC and Compliance

Certain Platform features require identity verification.

Regini may use third-party providers, including Smile ID, to verify your identity and comply with anti-money laundering (AML), counter-terrorism financing (CTF), sanctions, fraud prevention, and other legal requirements.

We may restrict, suspend, or terminate access where required by law or where suspicious activity is detected.

6. Deposits, Withdrawals and Transactions

Deposits and withdrawals are processed through Regini and its payment partners.

Current limits may include:

  • Minimum deposit: 350 KES
  • Minimum withdrawal: 150 KES
  • Maximum transaction: 250,000 KES
  • Daily transaction limit: 500,000 KES

These limits may change from time to time.

Withdrawals are generally available on demand. However, withdrawals may be delayed due to operational requirements, security reviews, liquidity constraints, blockchain conditions, system maintenance, or third-party service providers.

Transaction confirmations and account information may be provided through the app, WhatsApp, USSD, email, or other supported channels.

7. Exchange Rates and Conversion Margin

Transactions involving currency conversion are completed using exchange rates provided by Regini or its service providers.

Regini applies a conversion margin to the exchange rate on deposits and withdrawals. The conversion margin is the difference between the mid-market rate and the rate Regini offers you, and represents Regini's compensation for providing the conversion service. It is embedded in the quoted exchange rate shown to you at the time of the transaction — not charged as a separate line item.

Exchange rates also vary based on market conditions. The rate applicable to your transaction will be displayed before you confirm.

8. Custody of Digital Assets

Regini provides custody and management of digital assets on behalf of users.

We use secure wallet infrastructure, including Turnkey and other service providers, to safeguard customer assets.

To operate the Platform and generate yield, customer assets may be pooled and deployed to approved third-party providers, protocols, or financial arrangements.

While assets may be managed collectively, Regini maintains records of each user's balance and entitlement.

By using the Platform and participating in yield-generating products, you authorize Regini to manage and deploy eligible assets on your behalf.

Regini maintains records of customer balances separately from company operating funds. However, customer assets are not protected by any government-backed deposit protection scheme.

9. Yield Program and Fees

Participation in the yield program is optional.

To generate yield, Regini may deploy eligible assets to approved third-party providers, protocols, or yield-generating arrangements.

Variable yield accrues daily once your deposit settles to USDC — typically within 1–3 business days of your M-Pesa payment being confirmed.

Yield is variable and is not guaranteed.

Past performance does not guarantee future results.

Regini charges a performance fee equal to 15% of the yield earned. The performance fee is charged only on yield generated and never on your principal balance.

Consumer accounts: The 15% performance fee applies to all individual user accounts on the Platform.

Business partners and API integrations: Performance fee rates and all other commercial terms for business partners, resellers, and API integrations are governed by the applicable Partner Agreement, which may specify different fee structures.

Example:

If your funds generate 100 KES in yield, Regini will retain 10 KES as a performance fee and credit 90 KES to your account.

Regini does not charge fixed fees for deposits, withdrawals, or inactivity. A conversion margin is applied to the exchange rate on each deposit and withdrawal — see Section 7. Third-party providers, including mobile money operators and blockchain networks, may charge their own fees, which are outside Regini's control and will be disclosed before you confirm a transaction where applicable.

10. Risks

Using Regini involves risks, including:

  • Stablecoin risk
  • Foreign exchange risk
  • Technology and cybersecurity risk
  • Custody risk
  • Counterparty risk
  • Liquidity risk
  • Regulatory risk

You should carefully review the Regini General Risk Warning before using the Platform.

11. Acceptable Use

You may only use the Platform for lawful purposes.

You may not:

  • Engage in fraud, money laundering, terrorism financing, or other illegal activity.
  • Attempt to interfere with the Platform.
  • Circumvent security controls.
  • Impersonate another person.
  • Misuse the Platform or related services.

Regini may suspend or terminate access for violations of this section.

12. Communications

By using the Platform, you consent to receive service-related communications through email, SMS, WhatsApp, in-app notifications, or other channels.

You may opt out of marketing communications but not essential account, compliance, security, or transaction communications.

13. Service Availability

We aim to provide reliable access to the Platform but do not guarantee uninterrupted availability.

Services may be suspended, restricted, modified, or discontinued due to maintenance, security concerns, legal requirements, third-party service providers, or events beyond our control.

14. Suspension, Termination and Account Closure

Regini may suspend, restrict, or terminate your account if:

  • You breach these Terms.
  • We suspect fraud or illegal activity.
  • We are required to do so by law.
  • We identify security or compliance concerns.

You may close your account at any time by contacting support.

Upon account closure, Regini may require identity verification before releasing any remaining balances.

15. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis.

To the fullest extent permitted by law, Regini disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

16. Limitation of Liability

To the maximum extent permitted by law, Regini shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.

Regini is not responsible for losses caused by:

  • Market movements
  • Stablecoin de-pegging events
  • Third-party providers
  • Regulatory changes
  • Network failures
  • Cybersecurity incidents outside our reasonable control

Nothing in these Terms excludes liability that cannot legally be excluded.

17. Intellectual Property

All intellectual property rights in the Platform remain the property of Regini or its licensors.

You may not copy, modify, distribute, reverse engineer, or create derivative works without prior written consent.

18. Privacy

Our collection and use of personal data is governed by the Regini Privacy Policy.

By using the Platform, you consent to the processing of your information as described in the Privacy Policy.

19. Governing Law and Disputes

These Terms are governed by the laws of Kenya.

Any dispute arising from these Terms shall be resolved through binding arbitration in Nairobi, Kenya, under the rules of the Nairobi Centre for International Arbitration (NCIA).
